CrashPlan's Suspicious Corporate Structure

I am shopping for a cloud backup service. One of the few such products that I know about is called CrashPlan.

The CrashPlan software is a product of a company called Code42. This company is registered in Delaware, a state that has unkind consumer protection laws. The street address for Code42's corporate headquarters is in Minnesota. The home user EULA states that the agreement is with Code42 of Australia.

This corporate structure makes me suspicious. What do other people think?

I'd be less concerned about the corporate registration in Delaware, as many corporations are registered there (favorable laws for corporate registration, and headquarters don't have to be located there).

The EULA agreement referring to Australia would bother me.

CrashPlan told me that was looking at the Terms of Service for Australian customers. However, CrashPlan has not responded to my request for a copy of the Terms of Service for American customers.

Time and PC Mag both give a favorable rating to CrashPlan. However, Carbonite has a more attractive Terms of Service.
